AusCar Rentals Affiliate Operating Agreement
This Affiliate Agreement sets forth the complete terms and conditions that apply to participate in the Auscar Rentals Affiliate Partner program. As used in this Agreement, "Auscar Rentals" trading, part of Car Rental Holdings Pty Ltd, Queensland and "you" means the applicant. "Auscar Rentals Site" refers to www.auscarrentals.com.au, the landing web site for Auscar Rentals on the World Wide Web, and "your site" refers to the World Wide Web site that you will link to the Auscar Rentals site.
1. Becoming an Affiliate
Auscar Rentals affiliate program approves quality businesses that are closely aligned to the Car Rental and tourism industry. Other industry businesses are welcome to apply, however approval will be solely at the discretion of Auscar Rentals.
To become an Affiliate Partner, you must apply by completing the Online Application. Please take a moment to read and agree to all of the terms and conditions contained in this Agreement.
Once your application has been approved, an email confirmation will be sent with your unique Affiliate Identification details, link to various banners and acceptance of your application to become an Affiliate Partner, within five business days. This e-mail will contain your unique Affiliate Identification Code, User details , access to various Graphic banners (in jpeg format) and hyperlink/alt text details us size Graphics banner details which will make it possible for you to place links on your site that Auscar Rentals track.
Auscar Rentals reserves the right to reject any affiliate application if we determine that the site content featured may offend or be deemed inappropriate. This includes, but is not limited to sites that:
- promote sexually explicit or adult orientated materials, including dating services
- promote violence
- promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
- promote illegal services or material, including email or internet spamming and hacker practices
2. Your Obligations
As an Auscar Rentals Affiliate Partner, you agree to actively promote the Auscar Rentals brand through the placement of the supplied Auscar Rentals Affiliate banners' on your web site This may include (but not limited to) promotional text, business listing or profile, images, banner ads and ticket sales promotion.
You will be solely responsible for the development, operation and maintenance of your site as well as for all materials appearing on it. Your responsibilities include without limitation all aspects of the technical operation of your site (including the proper formatting of links so as to permit tracking of sales) and ensuring that the content of your site does not violate or infringe the rights of any third party. Auscar Rentals disclaims all liability for these matters and you shall indemnify and hold harmless Auscar Rentals and Car Rental Holdings from and against all damages, claims and expenses relating to them.
3. Auscar Rentals Obligations to its Partners
Auscar Rentals will handle all enquiries and customer related services, including confirmation of Rental Reservations. Customers will click on the Affiliate links from your site, and be redirected to the Auscar Rentals site, where Auscar Rentals will be responsible for tracking all sales that come from links on your site. You will receive a commission which will include GST for each successfully completed Rental, during a session that originated from such your affiliate link.No credit will be given for cancelled bookings or unsuccessfully completed reservation. Commission payments will be paid directly into the bank account you nominate the your application.
Commission payments will be made within 14 days of the close of every calendar month. A recipient created invoice will be issued summarizing sales and commissions payable for the period. A detailed sales and commission report will be made available online via personal login as part of the program. This feature is currently under development and should be fully accessible soon.
4. Term of the Agreement
The term of this Agreement will commence upon Auscar Rentals acceptance of your application and will continue until terminated. Subject to clause 5 below, either party may terminate this Agreement at any time by giving at least 30 days written notice, which may be given by e-mail, to the other party. Commission payments to you in respect to customers who may follow links from your site to rent cars after this Agreement is terminated, will not be payable.
5. Modification
Auscar Rentals shall have the right at any time to change or modify the terms and conditions of this Agreement or to impose new conditions. Such changes, modifications or additions shall be effective immediately upon notice thereof, which may be given by any means including by posting on the site. The absence of notice of termination, which will be effective immediately, by you will constitute your binding acceptance of the change, modification or addition.
6. Relationship of Parties
You and Auscar Rentals are independent contractors, and nothing in this Agreement shall be deemed to create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between us. You do not have the right to accept any offers on behalf of Auscar Rentals or to act for or bind Auscar Rentals in any manner and you shall not make any statement, whether or not on your site, to indicate otherwise.
7. Limitation of Liability
In no event will Auscar Rentals be liable for any indirect, special, or consequential damages arising in connection with this Agreement, your role as a Partner or any item sold under this Agreement.
8. Disclaimers
Other than as required by law, Auscar Rentals make no express or implied warranties or representations with respect to any item sold pursuant to this Agreement or with respect to the operation of the Auscar Rentals site.
9. Content
You acknowledge that the Auscar Rentals site contains information, data, graphics and other material protected by copyrights and trademarks and that these rights are valid and protected in all forms, media and technologies existing now or hereinafter developed.
